About the Issuer

Muthoot Fincorp Limited is registered as a non-deposit accepting NBFC with the RBI pursuant to the certificate of registration No. N-16.00170 dated July 23, 2002 issued by the RBI under Section 45 IA of the RBI Act. It is one of the prominent gold loan players in the Indian market. The personal and business loans secured by gold jewellery and ornaments (“Gold loans”) offered by the Company are structured to serve the business and personal purposes of individuals who do not have ready or timely access to formal credit or to whom credit may not be available at all, to meet unanticipated or other short-term liquidity requirements. It is engaged in the Gold loans business for over two decades and are headquartered in Kerala, India. The Company provides retail loan products, primarily comprising of Gold loans. Its Gold Loan variants include Muthoot Blue Super Value Loan, Easy Blue, Easy Max, Easy Pro, Restart India Pradhan, Easy Scale Up, Vyapar Vikas, Kisan Vikas, Udaan etc which are designed to suit needs and preferences of various customer segments. The 24x7 Express Gold loan facility of the Company helps its customers to avail quick top-up loans (subject to eligibility) against their gold jewellery already pledged with the Company.

Credit Rating for the NCDs?

  • The NCDs proposed to be issued under this Issue have been rated “Crisil AA-/Positive” by Crisil Ratings Limited vide its letter dated March 23, 2026 along with the rating rationale dated March 23, 2026 and credit bulletin dated March 24, 2026, for the NCDs proposed to be issued pursuant to this Tranche III Issue. Further, Company has received rating of “BWR AA/Stable” by Brickwork Ratings India Private Limited vide its letter dated October 08, 2025 along with rating rationale dated October 08, 2025.

Security?

  • The principal amount of the Secured NCDs to be issued in terms of this Tranche III Prospectus together with all interest due on the NCDs, as well as all costs, charges, all fees, remuneration of Debenture Trustee and expenses payable in respect thereof shall be secured by way of subservient charge with existing secured creditors on standard loan receivables and current assets (both present and future) of the company in favour of Debenture Trustee, to be held on pari passu basis among the present and / or future NCD holders, as may be applicable.

Modes of Applying?

  • Application through the ASBA Process (for all applicants). Retail Individual applicant may use the UPI mechanism to block funds for application value up to ₹ 5 Lakhs submitted through the app/web interface of the Stock Exchange or through intermediaries (Syndicate members, Registered Stock Brokers, Registrar and Transfer agent and Depository Participants).

Who is not eligible to invest in the issue?

  • The following categories of persons, and entities, shall not be eligible to participate in this Tranche I Issue and any Application from such persons and entities are liable to be rejected::
  • a) Minors without a guardian name*(A guardian may apply on behalf of a minor. However, Application by minors must be made through Application Forms that contain the names of both the minor Applicant and the guardian);
  • b) Foreign nationals, NRI inter-alia including any NRIs who are (i) based in the USA, and/or, (ii) domiciled in the USA, and/or, (iii) residents/citizens of the USA, and/or, (iv) subject to any taxation laws of the USA;
  • c) Persons resident outside India and other foreign entities;
  • d) Foreign Portfolio Investors;
  • e) Foreign Venture Capital Investors;
  • f) Qualified Foreign Investors;
  • g) Overseas Corporate Bodies; and
  • h) Persons ineligible to contract under applicable statutory/regulatory requirements.

Can the application be made on joint names?

  • Applications may be made in single or joint names (not exceeding three). In the case of joint Applications, all payments will be made out in favour of the first Applicant. All communications will be addressed to the first named Applicant whose name appears in the Application Form and at the address mentioned therein.
